Introduction Terms of Service

Welcome to Seattle Media Works/Investorzoo.com and affiliated websites. In order to use our service, you will need to create a new user name (known as allias) By submitting an Alias and password on the registration page, you are agreeing to be bound by the Terms of Use.

Seattle Media works/Investorzoo.com and affiliated web sites reserves the right to terminate your access at any time and, in egregious cases, your membership in the event you violate the Terms of Use. In such case, you will not receive a refund of any portion of the subscription fee paid by you.

Introduction

Our service is intended to serve as a discussion center.

Do not make any investment decisions based on any of the information you receive from any Seattle Media Works/Investorzoo.com or its affiliated web sites.

This is not the place for stock touters, cheerleaders or hypesters. To preserve the spirit of accountability, honesty and informed dialogue that we have fostered, we strongly encourage all participants to disclose any positions they have in stocks being discussed (e.g., long, short, no position).

We also respectfully ask that you not engage in any:

Stock touting.

Personal attacks.

Profanity, vulgarity or offensive conduct of any kind.

Inappropriate, unethical or misleading behavior.

We cannot guarantee that subscribers who comment on our site will tell the truth, and we will not monitor the veracity of names and positions or the content of any posts. In addition, please be advised that any subscriber who posts a comment will be publicly identifiable only by the Alias he or she chose.

By submitting a username and password on the registration page, you are agreeing to be bound by the Terms of Service.

You agree to:

Post comments in both tone and content that contribute in a positive and high quality manner to the substantive exchange of information and the subject matter.

Automatically grant - yourself or because you have the unrestricted right from the actual owner - Seattle Media works/Investorzoo.com and affiliated web sites a royalty-free, perpetual, non-exclusive and fully transferable and sub licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display comments you post (in whole or in part) worldwide and/or to incorporate any one of those comments in other works now or in the future.

Be responsible for all statements made and acts or omissions that occur on your subscription account while your password is being used.

Waive any and all rights against Seattle Media Works LLC /Investorzoo.com and affiliated web sites and hold Seattle Media works/Investorzoo.com and affiliated web sites harmless in connection with any claims relating to any action taken by Seattle Media works LLC/Investorzoo.com and affiliated web sites as part of its investigation of a suspected violation or result of its conclusion that a violation of the Terms of Use has occurred, including but not limited to the removal of your profile or posts from any Blog, or a suspension or termination of your membership account;

You agree not to:

By use of your Alias or in any comment, impersonate any person, firm or entity, falsely or deceptively state, infer or otherwise misrepresent your affiliation with or connection to any person, firm or entity.

Post any comment which, either the act of posting or the comment itself, you do not have a right to do under any law, regulation or order of any court, or as a result of an employment, contractual, fiduciary or other legal obligation or relationship.

Post any so called "chain letters," "pyramid" or other schemes or invitations to participate in these or any other form of solicitation or promotion.

Post any non-public or otherwise restricted, confidential or proprietary information without authorization.

Violate any local, state, national or international law, regulation or order of any court, including but not limited to regulations of the U.S. Securities and Exchange Commission, any rules of any securities exchange, including without limitation, the New York Stock Exchange, the American Stock Exchange or The Nasdaq Stock Market.

Seattle Media works/Investorzoo.com and affiliated web sites has the right in its sole discretion, arbitrarily and/or for any reason and without any notice whatsoever, to edit, move, delete, and/or remove any comment posted on at any time. Without limiting the foregoing, Seattle Media works/Investorzoo.com and affiliated web sites has the right to delete any comments that Seattle Media works/Investorzoo.com and affiliated web sites believes, in its sole discretion, does or may violate the Terms of Use. You agree to indemnify and hold Seattle Media works/Investorzoo.com and affiliated web sites harmless from any claim, action or demand made by any third party and all damages, losses, liabilities, costs and expenses (including attorneys' fees), in connection with or arising out of your violation of the Terms of Use.

Important Caveats

While we believe that this site can and should be a positive environment for the exchange of information. You understand that this site is open for posting to all subscribers. Some individuals may post comments that may be offensive, indecent, objectionable, false, misleading or simply inappropriate. The site and/or its members may also post comments, with links to other Web sites or resources over which Seattle Media works/Investorzoo.com and affiliated web sites has no control, nor any responsibility or liability.

Each individual who posts information is solely responsible for her or his own acts, including the content, context or information in the comment he or she posts. Disclaimer of Warranties and Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SEATTLE MEDIA WORKS LLC/INVESTORZOO.COM'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO SEATTLE MEIDA WORKS LLC/INVESTORZOO.COM FOR THE SEATTLE MEDIA WORKS/INVESTORZOO.COM SERVICES DURING THE TERM OF MEMBERSHIP.

U.S. Export Controls. Software available in connection with the Seattle Media Works LLC/Investorzoo.com Services (the "Software") is further subject to United States export controls. No Software may be downloaded from the Seattle Media Works/Investorzoo.com Services or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.

Disputes. The Agreement shall be governed by, and construed in accordance with, the laws of Washington State, without regard to its conflict of law provisions. You and Seattle Media Works LLC/Investorzoo.com agree to submit to the exclusive jurisdiction of the courts located within the State of Washington to resolve any dispute arising out of the Agreement or the Seattme Media Works LLC Works/Investorzoo.com Services. EACH OF THE PARTIES HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION (INCLUDING BUT NOT LIMITED TO ANY CLAIMS, COUNTERCLAIMS, CROSS-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT. FURTHER, EACH PARTY HERETO CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH PARTY WOULD NOT IN THE EVENT OF SUCH LITIGATION, SEEK TO ENFORCE THIS WAIVER OF RIGHT TO JURY TRIAL PROVISION. EACH OF THE PARTIES ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL INDUCEMENT FOR THE OTHER PARTY ENTERING INTO THIS AGREEMENT.

Indemnity.You agree to indemnify and hold Seattle Media Works LLC/Investorzoo.com, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Seattle Media Works LLC/Investorzoo.com Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth in this Agreement and/or if any Content that you post on or through the Seattle Media Works LLC/Investorzoo.com Services causes Seattle Media Works LLC/Investorzoo.com to be liable to another.

Other. This Agreement is accepted upon your use of the Seattle Media Works/Investorzoo.com Website or any of the Seattle Media Works/Investorzoo.com Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and Seattle MediaWorks/Investorzoo.com regarding the use of the Seattle MediaWorks LLC/Investorzoo.com Services. The failure of Seattle MediaWorks LLC/Investorzoo.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. Seattle MediaWorks/Investorzoo.com is a trademark of Seattle Meida Works/Investorzoo.com, Inc. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Modification of Terms of use

Seattle Media Works LLC/Investorzoo.com and affiliated web sites reserves the right to change, modify, add or remove all or part of the Terms of Use at any time without prior notice.
